Please read these Terms of Service carefully before using any Oysterworld products or services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Oysterworld Inc., a Delaware C-Corporation ("Oysterworld," "Company," "we," "us," or "our"). These Terms govern your access to and use of all Oysterworld products, services, websites, applications, hardware devices, and related offerings (collectively, the "Services").

By creating an account, purchasing or using any Oysterworld device, accessing our software platforms, participating in the sensor network, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Oysterworld develops and operates a range of hardware devices, software platforms, and decentralized network services. Our current products and services include, but are not limited to:

ClawPhones — A DePIN (Decentralized Physical Infrastructure Network) smartphone that combines standard mobile functionality with decentralized network participation, sensor data collection, and on-device AI capabilities.

OpenClaw — Software platform providing AI agent orchestration, developer tools, and APIs for building applications within the Oysterworld ecosystem.

Puffy Health — A wearable health-monitoring device that collects biometric and environmental data, providing health insights through companion applications.

ClawGlasses — AI-powered smart glasses featuring real-time visual processing, augmented reality overlays, and hands-free interaction capabilities.

Oysterworld Sensor Network — A distributed network of sensors deployed through Oysterworld devices that collects environmental, geospatial, and connectivity data to build a shared intelligence layer.

Data Marketplace — A platform enabling the exchange of anonymized, aggregated data collected through the sensor network, subject to user consent and applicable privacy regulations.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that affect your use of the Services.

3. User Accounts & Registration

3.1 Account Creation

Certain features of the Services require you to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, private keys, and any authentication tokens. You agree to notify Oysterworld immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

3.3 Account Responsibility

You are responsible for all activities that occur under your account, whether or not you have authorized such activities. Oysterworld will not be liable for any loss or damage arising from your failure to maintain the security of your account.

3.4 One Account Per Person

Each individual may maintain only one active account unless expressly authorized by Oysterworld. We reserve the right to merge or terminate duplicate accounts.

5. Intellectual Property

5.1 Oysterworld IP

All right, title, and interest in and to the Services, including all software, firmware, hardware designs, trademarks, trade names, logos, patents, copyrights, trade secrets, and other intellectual property rights therein, are and shall remain the exclusive property of Oysterworld Inc. and its licensors. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited usage rights expressly set forth herein.

5.2 User Content

You retain ownership of any content you create, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant Oysterworld a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such User Content solely for the purpose of operating and improving the Services.

5.3 Feedback

If you provide Oysterworld with any suggestions, ideas, improvements, or feedback regarding the Services ("Feedback"), you hereby assign to Oysterworld all right, title, and interest in such Feedback. Oysterworld shall be free to use, disclose, reproduce, license, and otherwise exploit the Feedback without restriction or obligation to you.

5.4 Open Source

Certain components of the Services may incorporate open-source software. Use of such components is subject to the applicable open-source licenses, which will be identified in the accompanying documentation or source repositories.

6. Device & Hardware Terms

6.1 Purchase and Ownership

Upon purchase of an Oysterworld hardware device (including ClawPhones, Puffy Health wearables, and ClawGlasses), you acquire ownership of the physical device. However, all embedded software, firmware, and associated intellectual property remain the property of Oysterworld and are licensed, not sold, to you under these Terms.

6.2 Warranty

Oysterworld hardware devices are covered by a limited manufacturer's warranty as described in the warranty documentation included with each product. This warranty does not cover damage resulting from misuse, unauthorized modification, accidents, or normal wear and tear.

6.3 Firmware and Software Updates

Oysterworld may release firmware and software updates for its devices from time to time. Some updates may be required to continue using certain features of the Services. By using an Oysterworld device, you consent to the automatic installation of critical security and functionality updates. You may opt out of non-essential updates through device settings where such options are available.

6.4 Modifications and Repairs

Unauthorized modification, tampering with, or disassembly of Oysterworld hardware may void the warranty and may violate applicable laws. Repairs should only be performed by Oysterworld-authorized service providers.

6.5 End of Life

Oysterworld may discontinue support for specific hardware models after providing reasonable notice. We will make commercially reasonable efforts to provide at least twelve (12) months' notice before discontinuing software support for any hardware product.

7. Data & Sensor Network Participation

7.1 Data Collection

Oysterworld devices may collect various types of data, including but not limited to environmental readings (air quality, temperature, noise levels), geospatial data, connectivity metrics, and device performance data. The specific data collected by each device is described in the device documentation and our Privacy Policy.

7.2 Consent and Control

Participation in the Oysterworld Sensor Network is voluntary. You may enable or disable data-sharing features through your device settings or account dashboard at any time. Disabling sensor network participation may limit certain features or rewards associated with network contribution.

7.3 Data Processing and Anonymization

Data contributed to the sensor network is processed, aggregated, and anonymized before being made available through the Data Marketplace. Oysterworld employs industry-standard techniques to prevent the re-identification of individual users from aggregated datasets.

7.4 Data Marketplace

The Data Marketplace enables authorized third parties to access anonymized, aggregated datasets derived from the sensor network. You may be eligible for compensation or rewards based on your contribution to the network, as described in the applicable program terms. Oysterworld does not sell individual user data and all marketplace transactions involve anonymized and aggregated datasets only.

7.5 Health Data (Puffy Health)

Biometric and health-related data collected by Puffy Health devices is treated with heightened protections in accordance with applicable health data regulations. Health data is never shared through the Data Marketplace without explicit, separate, informed consent, and is processed in compliance with applicable laws including HIPAA (where applicable) and equivalent international standards.

7.6 Data Retention

We retain your personal data for as long as your account is active or as needed to provide the Services. Upon account deletion, we will delete or anonymize your personal data within ninety (90) days, except where retention is required by law or for legitimate business purposes as described in our Privacy Policy.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities in connection with the Services:

  1. Network Manipulation: Spoofing, falsifying, or manipulating sensor data or network contributions, including operating fraudulent nodes or devices designed to generate illegitimate rewards.
  2. Unauthorized Access: Attempting to access, probe, or test the vulnerability of any Oysterworld system or network, or breaching any security or authentication measures.
  3. Interference: Interfering with or disrupting the integrity, performance, or availability of the Services, the sensor network, or any connected infrastructure.
  4. Intellectual Property Infringement: Using the Services to infringe upon the intellectual property rights of Oysterworld or any third party.
  5. Illegal Activities: Using the Services for any purpose that is unlawful, fraudulent, or in furtherance of illegal activity.
  6. Harmful Content: Transmitting any content that is defamatory, obscene, threatening, abusive, or otherwise objectionable through the Services.
  7. Automated Abuse: Using bots, scrapers, or automated tools to interact with the Services in a manner not authorized by Oysterworld.
  8. Sybil Attacks: Creating multiple accounts, devices, or network identities for the purpose of manipulating network rewards, governance votes, or marketplace activity.
  9. Data Extraction: Systematically extracting or collecting data from the Services or the Data Marketplace for purposes not authorized under your account terms.
  10. Circumvention: Attempting to bypass, disable, or circumvent any technical measure, access control, or security feature of the Services.

Oysterworld reserves the right to investigate and take appropriate action against any user who violates these prohibitions, including account suspension or termination, removal from the sensor network, and reporting to law enforcement authorities where appropriate.

9. Limitation of Liability

9.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. OYSTERWORLD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Availability

Oysterworld does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. The sensor network and data marketplace operate on a best-effort basis, and availability may vary by location and conditions.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OYSTERWORLD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF OYSTERWORLD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OYSTERWORLD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO OYSTERWORLD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.5 Health Data Disclaimer

Puffy Health devices and associated services are intended for general wellness purposes only and are not medical devices. Data and insights provided are not intended to diagnose, treat, cure, or prevent any disease or health condition. Always consult a qualified healthcare professional for medical advice.

10. Indemnification

You agree to indemnify, defend, and hold harmless Oysterworld Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Oysterworld reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

11. Termination

11.1 Termination by You

You may terminate your account and stop using the Services at any time by contacting us at [email protected] or through your account settings. Upon termination, your right to use the Services will cease immediately, and any data associated with your account will be handled in accordance with our Privacy Policy and Section 7.6 of these Terms.

11.2 Termination by Oysterworld

Oysterworld may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution).

11.4 Hardware After Termination

Termination of your account does not affect your ownership of purchased hardware devices. However, certain software features and network services that require an active account may become unavailable following termination.

12. Governing Law

These Terms and any dispute arising out of or in connection with these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Oysterworld at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within thirty (30) days of receipt of your written notice.

13.2 Binding Arbitration

If a dispute cannot be resolved informally within thirty (30) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND OYSTERWORLD AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

13.5 Opt-Out

You may opt out of the binding arbitration and class action waiver provisions of this section by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration.

14. Changes to Terms

Oysterworld reserves the right to modify these Terms at any time. When we make material changes, we will provide notice through one or more of the following methods:

Material changes will become effective thirty (30) days after notice is provided, unless a longer period is required by applicable law. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and terminate your account.
